Franchise Terms & Conditions

Applicable to every new Franchise Partner (institute or individual)  |  Last updated: 7 July 2026  |  www.dbsitinstitute.com

These Franchise Terms & Conditions ("Terms") are the binding rules that every Franchise Partner must follow. They apply to every person, firm, institute, or entity ("Franchisee", "you", "your") who applies for, is granted, or operates an authorised franchise / study centre of Deltabyte Solutions IT Institute (OPC) Private Limited, trading as "DBS IT Institute" ("the Company", "the Institute", "we", "us", "our"). By submitting a franchise application or by operating a centre, you accept and agree to follow and be bound by these Terms in full, regardless of whether you are a new institute, an existing business, or an individual.

Auto-application: These Terms automatically apply to all Franchisees. Acceptance is confirmed at the time of applying online (by ticking "I agree to the Franchise Terms & Conditions") and/or by signing the Franchise/Authorisation Agreement. A separately signed Franchise/Authorisation Agreement, where executed, shall prevail on specific commercial terms.

1. Who Can Apply (Eligibility)

  • Any individual (18 years or above) or any institute/firm/company with the intent and capacity to run a computer education centre.
  • Applicant must have (or arrange) a suitable premises, computers, internet, and qualified faculty as per the Institute's standards.
  • Applicant must provide valid KYC and correct information. False information can lead to rejection or termination without refund.

2. What the Franchisee GETS (Facilities & Support)

  • Authorised Centre Status: right to operate as an authorised DBS IT Institute study centre and use the "DBS IT" brand during the term.
  • Authorisation Letter & Verification: official authorisation letter and online franchise verification.
  • Centre Admin Panel: dedicated management panel to run the centre.
  • Student Registration: register and manage unlimited students under the centre (subject to plan/feature control).
  • Document Generation: generate certificates, marksheets, typing certificates, admit cards, and ID cards for the centre's students.
  • Course Content & Syllabus: access to course structure, syllabus, and prospectus.
  • Attendance, Study Material & Live Classes: manage attendance, share study material, and conduct live classes.
  • Fee Collection & Invoicing: collect fees online and issue invoices/receipts.
  • Wallet System: centre wallet with top-ups, transaction history, and withdrawals (subject to rules and charges).
  • Centre Micro-site: a centre-level web presence, where offered.
  • Reports, Notifications & Support: dashboards, activity logs, announcements from head office, and support tickets.
  • Verification System: all documents issued are publicly verifiable, adding credibility.

Exact features depend on the selected plan, subscription, and per-centre feature-control settings, which the Institute may configure.

3. What the Franchisee MUST DO (Obligations)

  • Set up and maintain proper infrastructure — premises, computers, internet, and qualified faculty — at the Institute's standards.
  • Register students honestly and issue documents only to genuinely enrolled and eligible students.
  • Collect fees fairly and maintain proper records.
  • Obtain all local licences/registrations required to run the centre and comply with all applicable laws.
  • Pay all applicable taxes (e.g., GST) and statutory dues on its own account.
  • Protect student data and follow the Institute's Privacy Policy and quality standards.
  • Use the brand, logo, and materials strictly as authorised and only during the term.
  • Represent the Institute honestly and protect its reputation and goodwill.
  • Pay the franchise fee and any renewal/subscription/per-student/per-document charges on time.

4. What the Franchisee CANNOT DO (Restrictions)

  • Cannot issue any fake, forged, or backdated certificate, marksheet, or document, or register non-existent students.
  • Cannot claim to be a government body, university, or board, or claim that certificates are government degrees/diplomas.
  • Cannot register, imitate, alter, or misuse the "DBS IT" trademark, logo, or name, or create a confusingly similar brand.
  • Cannot transfer, sub-franchise, sell, or assign the franchise rights to any third party without the Institute's prior written approval.
  • Cannot use the brand or materials after expiry or termination of the authorisation.
  • Cannot share portal credentials or misuse the software, data, or wallet system.
  • Cannot make false promises of jobs, results, or guarantees to students in the Institute's name.
  • Cannot engage in any illegal, fraudulent, or reputation-damaging activity.

5. Fees & Payments

  • All fees are payable in advance through approved payment methods and are non-refundable unless expressly stated otherwise.
  • Centre operations use a wallet; top-ups, withdrawals, and transactions are subject to the Institute's limits, charges, KYC, and approval.
  • The Institute may revise charges with reasonable notice.

6. Term, Renewal & Termination

  • Term: the franchise authorisation is valid for 5 (five) years from the date of grant, unless terminated earlier as per these Terms.
  • Renewal: renewable on application before expiry, on the Institute's then-current terms and renewal fee.
  • Territory: the centre operates from the approved location. [Tick one: ☐ Exclusive area rights   ☐ Non-exclusive]
  • Termination by the Institute (with or without notice, as appropriate) for: breach of these Terms, fraud, issuing fake documents, brand misuse, non-payment of dues, or any act harmful to the Institute's reputation.
  • Voluntary exit: the Franchisee may exit as per the notice period in the Franchise/Authorisation Agreement; paid fees remain non-refundable.
  • On termination/expiry: all franchise rights cease immediately; the Franchisee must stop using the brand, logo, panel, and materials, clear all outstanding dues, and hand over/return Institute property.

7. Brand & Intellectual Property

  • The "DBS IT" trademark, logo, course content, software, and materials remain the sole property of the Company.
  • The Franchisee gets only a limited right to use them during the term, and acquires no ownership.
  • Any goodwill from use of the brand accrues to the Company.

8. Relationship & Responsibility

  • The Franchisee is an independent operator. Nothing creates a partnership, agency, employment, or joint venture with the Company.
  • The Franchisee is solely responsible for its staff, students, premises, local compliance, debts, and commitments.
  • The Company is not liable for any independent act, representation, or omission of the Franchisee outside the authorisation.

9. Quality, Audit & Feature Control

  • The Institute may set standards and audit centre activity, records, and document issuance.
  • The Institute may enable, restrict, or disable specific features for any centre at its discretion.

10. Data Protection

The Franchisee must handle all student and user data as per the Institute's Privacy Policy and applicable law (IT Act, 2000 and DPDP Act, 2023). Misuse of data is a material breach.

11. Limitation of Liability & Indemnity

  • To the maximum extent permitted by law, the Company shall not be liable for any indirect or consequential loss. Its total liability shall not exceed the fees actually received from the Franchisee for the relevant service.
  • The Franchisee shall indemnify and hold harmless the Company, its director, and employees against any claim, loss, or liability arising from the Franchisee's breach, misuse of the brand, or unlawful acts.

12. Force Majeure

Neither party is liable for delay/failure caused by events beyond reasonable control (natural disasters, network/power failure, government action, etc.).

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the competent courts at Samastipur, Bihar, India.

14. Amendments

The Institute may amend these Terms at any time. The updated Terms will be posted on the website with a revised date, and continued operation constitutes acceptance.

15. Acceptance / Declaration

By applying for or operating a DBS IT Institute franchise, the Franchisee confirms that they have read, understood, and agreed to these Franchise Terms & Conditions, and that these Terms apply to them in full.
